Stout Advises Care and Help Home Care on Sale to HouseWorks Holdings

May 17, 2023

Stout announced today that its client, Care and Help Home Care, LLC (“Care and Help” or the “Company”), has been acquired by HouseWorks Holdings, LLC (“HouseWorks”), a portfolio company of InTandem Capital Partners (“InTandem”). InTandem is a New York City-based private equity firm that invests in and helps accelerate the growth of small to mid-sized companies in select healthcare services sectors.

Founded in 2017 and headquartered in Huntingdon Valley, PA, Care and Help provides non-medical home care primarily consisting of personal assistance services, such as bathing, grooming, light housekeeping, and meal preparation. Care and Help also offers hot and specialty meal deliveries through its Meals on Wheels program. The Company has a network of over 1,650 caregivers in Pennsylvania and operates four locations throughout the greater Philadelphia area, all of which are within proximity to densely populated regions of Medicaid patients.

Stout served as exclusive financial advisor to Care and Help in connection with this transaction.

John Calcagnini, who led the deal team for Stout, said, “Care and Help, led by CEO Alex Berenson, has been enormously successful with the family caregiver model under the Medicaid waiver program in Pennsylvania, and I attribute this to their quality care, talented staff, marketing outreach programs, training programs, and innovative and differentiated approach to working with patients and caregivers.

“After his father had difficulty finding adequate care years ago, Alex took a fresh look at the competitive landscape in non-medical home care and established a new company that could deliver a superior service that better met the needs of caregivers and patients. He succeeded by adopting technology that makes it easy to (1) identify patients in need using social media and other forms of communication as well as community-based programs and outreach and (2) electronically verify caregiver compliance and track hours. The offering of a meal service to ensure proper nutrition for patients has also improved the quality of life for patients and has an admirable goal of striving to achieve better health outcomes. We could see during our process that the Care and Help team really enjoys what they do, and they were a pleasure to work with.”

Alex Berenson said, “Stout did great work in preparing us for market and positioning our company with prospective buyers. They ran a very effective and broad sale process that garnered a high level of interest in our company from both strategic and financial buyers, which led us to identifying HouseWorks/InTandem as the ideal partner. We hit it off with InTandem and Mike Trigolio at HouseWorks from the start, as they were very proactive and already had a presence in our market and understood our business. We anticipate that this transaction will allow us to accelerate market share gains, expand into new geographies in Pennsylvania and adjacent states, and increase revenue by offering our meal services to the HouseWorks platform.”

Stout’s Eric Froidevaux, Tyler Skarstein, Jake Good, and Garrett Reich assisted in executing the transaction.

Jeffer Mangels Butler & Mitchell LLP served as legal counsel to Care and Help. Goodwin Procter LLP served as legal counsel to HouseWorks and InTandem.
