Stout Advises Plastics Components, Inc. on Sale to Rosti Group

January 05, 2022

Stout has advised MPE Partners (MPE) on its sale of Lighthouse Holdco, Inc., the parent company of Plastic Components, Inc. (PCI), an innovative manufacturer of mission-critical, engineered plastic components to Rosti Group AB (Rosti), a global plastic injection molding company and contract manufacturer serving some of the world’s leading manufacturers in the packaging, consumer appliances, business machines, medical, and automotive sectors. The transaction closed on December 29, 2021. Stout served as exclusive sell-side financial advisor to MPE and PCI in connection with the transaction.

Matt Yohe, Partner at MPE, remarked, “We have enjoyed our partnership with PCI and their impressive team over the past five years. During that time, PCI has transformed from a regional manufacturer to a nationwide platform by successfully completing two strategic add-on acquisitions, accelerating its organic growth, and tripling its employee base.”

Derrill Rice, CEO of PCI, commented, “Throughout our partnership, MPE was very supportive of our growth, investing in employee talent and increasing our operational capacity. Furthermore, MPE provided invaluable advice to enable our add-on acquisition growth strategy. We are excited to capitalize on the foundation we have built together in PCI’s next chapter of growth with Rosti.”

“This acquisition not only joins together two strong technology-forward manufacturing teams, allied in their continuing pursuit of excellence and mentality towards world-class manufacturing and scientific molding, but it also supports our relationships with existing customers while creating additional opportunities for growth and expansion. PCI aligns well with Rosti strategically and culturally, and together we are excited to offer customers a superior technical service,” Jonas Persson, CEO of Rosti, stated.

Michael Benson, Managing Director at Stout who led the transaction, added, “We are thrilled with the outcome for all parties involved in this successful transaction. Stout has developed longstanding relationships with MPE, PCI, and Rosti over the years, and we look forward to seeing PCI and Rosti join forces as a united, global platform that continues to innovate through its industry-leading, highly automated injection molding processes.”

Baker & Hostetler LLP served as legal counsel to MPE and PCI. K&L Gates LLP served as legal counsel to Rosti.

Stout’s Kevin Manning, David Evatz, Chris Hannah, Michael Brocious, Steven Simone, Natalie Walgren, Irune Andres, and Justin Gerszonovicz assisted in executing the deal.
