Provided financial diligence for PE firm selling food service provider
Stout provided sell-side due diligence for a private equity platform business in the food service space. The sale was for a leading corporate food service provider in the Midwest offering its clients vending machines, dining, markets, and catering options. The business operates as one of the largest multi-state franchisees to the franchisor. Our team supported the business through several instrumental acquisitions, refinancing, and the ultimate sale to a new private equity investor.
Our financial due diligence team performed quality-of-earnings (QofE) analysis, which included the consolidation of six acquisitions, post-transaction synergies, operational pro formas, and other shifts surrounding COVID’s impact on the business.
Our team also performed analysis on accounting areas such as rebates and inventory accounting, which are key topics within the food industry. We further assisted the client throughout the process, including frequent roll-forwards of the QofE, buyer calls, net working capital analysis, net debt, purchase agreement assistance, and more.
