Stout provided sell-side financial due diligence services to a healthcare fund that focuses on the healthcare service and healthcare technology sectors. The client was divesting a West-Coast-based portfolio company specializing in biomedical services, including the maintenance, repair, and sales of biomedical equipment.

The Stout financial due diligence team assisted with the proprietary deal, working closely with the Company and its legal advisors throughout the transaction process. Stout performed a quality-of-earnings analysis and assisted in preparing and guiding management through the buyer’s diligence process. The team performed multiple roll-forwards of their analysis throughout the process, responded to buyer inquiries, assisted in reviewing the purchase agreement, and established the working capital target for the transaction.

In collaboration with the diligence team, Stout’s valuation team was engaged to provide market data and comparable transactions. Such information and analysis were used to inform and support the Company’s negotiations.
