Sean Sutton has significant experience providing valuation services to privately held companies for financial reporting, tax, compliance, and strategic planning purposes. He has advised clients across a variety of growth stages and ownership structures, including venture-backed, private equity-backed, family-owned, and pre-IPO businesses.
Sean specializes in the valuation of complex capital structures, stock-based compensation, debt and equity securities, and other financial instruments, with particular expertise in IRC 409A, ASC 718, ASC 820, and related fair value analyses. He works closely with founders, management teams, finance and accounting professionals, auditors, investors, and legal advisors on valuation analyses involving preferred and common equity, stock options, share-based awards, warrants, convertible instruments, debt securities, and other complex financial instruments. His experience includes supporting companies through IPO, SPAC, and other capital markets transactions.
Prior to joining Stout, Sean was a Vice President in Morgan Stanley’s private market valuation practice, where he focused on valuation analyses for venture-backed and private equity-backed companies, including many late-stage private enterprises.
