Stout has advised Mega Fabrication, Inc. d.b.a. Piranha (“Piranha”), a leading provider of metal fabrication and cutting equipment, on its sale to Peninsula Capital Partners and Woodlawn Partners. The transaction closed on February 17, 2023. Stout served as exclusive sell-side financial advisor to Piranha in connection with the transaction.

Headquartered in Rockford, IL, Piranha designs, engineers, assembles, and distributes metal fabrication equipment — such as ironworkers, fiber lasers and plasma tables, amongst others — and associated aftermarket parts, accessories, and tooling. With a storied history of over 140 years, Piranha’s reputation for high-quality craftsmanship and dependability has positioned it (and its legacy brands) as one of the most recognizable companies in the metal fabrication equipment industry.

Based in Southfield, MI, Peninsula Capital Partners is a private investment firm that provides private capital solutions, including junior debt and equity, to middle-market companies across a variety of industries, such as manufacturing, information technology, industrial and professional services, and consumer products.

Woodlawn Partners is a private equity firm focused on succession strategies and organizational development.
