Stout served as financial advisor to Quarterhill Inc. in the sale of all of the shares of Wi-LAN Inc. to Owlpoint IP Opportunities JVF LP, a joint venture between Arena Investors, LP and Owlpoint Capital Management, LLC for gross proceeds of up to approximately CN$71.4 million subject to certain adjustments.

Stout was selected to execute on this complex, corporate carve-out transaction given its investment banking experience in the intellectual property (IP) monetization and professional services sector as well as transaction opinion capabilities. The team ran a robust process contacting a wide range of financial sponsors and institutional investors focused on the IP monetization space.

The transaction represents the successful culmination of Quarterhill’s strategic review process and transforms the Company into a growth-oriented business focused on the Intelligent Transportation Systems industry and positions WiLAN to prosper under a new ownership structure pursuing growth in the IP monetization space. Utilizing a multi-disciplinary investment banking and IP deal advisory team, Stout supported all aspects of the transaction, including providing a fairness opinion to Quarterhill.
