Stout provided buy-side financial and tax due diligence services for a strategic client within the real estate market. The target was a family owned and operated escrow business which primarily serviced residential property sales and refinances.
The Stout Financial Due Diligence team performed quality-of-earnings analysis and net-working-capital procedures throughout the process. In addition, the target received escrow earnings credits from its banking partners which were analyzed during diligence. Stout also performed tax due diligence that included key analysis related to the S-Corporation, potential options for an “F” reorganization, state and local filing requirements, and more.
