February 01, 2021

Stout announced today that its client, Life Science Outsourcing, Inc. (LSO), has received a majority equity investment from New York-based Public Pension Capital (PPC), a leading private equity firm focused on service businesses in North America. LSO’s new strategic partnership with PPC will allow the company to focus on expanding services and geographic reach with Founder and CEO, Barry Kazemi, continuing to lead and retain a significant ownership stake in the company. Stout served as exclusive financial advisor to LSO in connection with this transaction.

Founded in 1997 and headquartered in Brea, CA, LSO is a leading medical device contract manufacturer offering a variety of services, including device assembly, sterilization, package testing, package assembly, fulfillment & distribution, and cleaning & decontamination. The company serves a wide variety of customers, including innovative startups and large established OEMs selling devices around the world. Its customers span a broad range of end-markets including orthopedic, spine, dental, vision, biotech, drug delivery combination and pharma surgical devices.

“Stout’s excellent advice and guidance throughout the transaction led to a favorable outcome for our management team and employees,” said Barry Kazemi, Founder and CEO of LSO. “The PPC team, led by Asif Zaman and John Morgan, has a wealth of talent and resources to help accelerate future growth and will be a great partner for LSO.”

“Stout has maintained a long-standing relationship with LSO, and we are very proud of this successful outcome for our client and the entire organization,” said John Calcagnini, Managing Director and Head of Stout’s Healthcare & Life Sciences Investment Banking practice. “LSO offers a valuable and comprehensive range of services to medical device OEMs that are hard to find anywhere else in the industry. We envision many potential avenues of growth for the company and look forward to seeing how it evolves as its growth potential comes to fruition.”

Calcagnini led the transaction, and Stout’s Alec Wittenberg assisted in executing the deal.

K&L Gates served as legal counsel to LSO. McDermott Will & Emery served as legal counsel to PPC.
