Work performed:

• Advised the seller on the tax implications of the proposed transaction, including analyzing potential sales or transfer taxes related to its nuanced intangible property rights
• Prepared a sell-side “tax fact book” for auction participants
• Worked with counsel and seller management to prepare a closing day funds flow workbook
