Advised on SPAC and public readiness of a growing food company
Mhalou and her team led the Special Purpose Acquisition Company (SPAC) transaction and public readiness for a growing food manufacturing company with operations in the U.S., Europe, and Mexico.
The team performed the Company’s SPAC-readiness assessment, developed a roadmap, and assisted the Company in the process. The assessment included determining if the Company had the accounting and forecasting skillsets in place to meet the tougher demand of a publicly traded company as well as the corporate governance structure to meet functional requirements and stakeholder expectations.
The project scope expanded to include addressing and documenting complex accounting and transactions, reviewing of all major agreements, and drafting all financial information within the registration statement. The team also assisted the Company on the implementation of new accounting standards (such as ASC 606 - Revenue from Contracts with Customers, and ASC 842 - Leases) as well as various conversion projects involving the International Financial Reporting Standards (IFRS) and Italian generally accepted accounting principles (GAAP) to U.S. GAAP.
The project was successfully completed despite aggressive timelines. The team continued to perform ongoing interim and financial reporting and other consulting services to the Company.
