Following the acquisition of a leading designer and manufacturer of thermal flow and control management products and solutions by a prominent private equity firm, Stout was engaged to perform the acquisition accounting valuation. Our client, composed of multiple reporting units, required a determination of the fair value of inventory, personal property, real property, trade names and trademarks, technology and know-how, and customer relationships. The engagement also included an earn-out valuation and an analysis of real property leases.
Since the completion of the initial purchase price allocation, our client has leveraged Stout's comprehensive valuation advisory services and expertise in i) the completion of its annual goodwill impairment test, including a reassignment of goodwill and intangible assets due to a reorganization, ii) an additional acquisition accounting valuation for a follow-on investment of a multi-reporting unit company based in Italy, and iii) a valuation of a patent portfolio for tax planning purposes.
