Stout Advises Prosit on Acquisition of Casa Vinicola Caldirola

MB e Associati S.r.l. (“Stout”) is pleased to announce that its client, Prosit S.p.A., one of Italy’s most premium segment wine groups, founded by Sergio Dagnino and run by the Quadrivio & Pambianco “Made in Italy Fund,” has acquired 100% of Casa Vinicola Caldirola S.p.A., which produces a wide range of Italian regional wines, including its historic brand, La Cacciatora.

Founded in 1897 by Ferdinando Caldirola, Casa Vinicola Caldirola offers a broad range of products, including still, sparkling, effervescent, and organic labels that rank among acknowledged classes of wine (DOC, DOCG, and IGT) and come from all over Italy. The company posted revenues of €40.3 million and an EBITDA of €2.2 million in 2021.

Prosit is a holding of family-run wineries with regional products of recognized quality and strong identity. By purchasing Casa Vinicola Caldirola, Prosit is making its sixth investment: an important step in development of the group that aims to lead as a major Italian player in the fine wines sector. To date, the Group consists of Cantina di Montalcino (Tuscany), Cantine Torrevento (Puglia), Collalbrigo Grandi Vini (Veneto), and Storiche Cantine Nestore Bosco (Abruzzo). In addition to the new entry Caldirola, there is also a strategic partnership with the U.S. importer Votto Vines.

Simone Bassanini, Managing Director and Co-Head of Stout’s Milan office, acted as financial advisor to Prosit. DLA acted as the legal advisor, and Deloitte acted as its auditor.
