Jeffrey M. Risius, CPA/ABV, CFA, ASA, Managing Director in the Valuation Advisory Group, recently provided expert testimony regarding the valuation of Sallyport Global Holdings, Inc. in association with a complex breach of contract litigation. Stout was retained by Bailey & Glasser, LLP, counsel for the Plaintiff. Judge William H. Pauley, III, of the United States District Court for the Southern District of New York presided over a three week trial, which the judge stated rivaled Warren Adler’s “The War of the Roses.” At issue was the actual enterprise value of Sallyport Global Holdings, Inc. reflected in a complicated transaction with a stated value of $64.5 million. Judge Pauley noted the stated value was “startlingly close to the $65 million trigger,” above which would result in a clawback payment due to the Plaintiff. Mr. Risius’ testimony directly contributed to the court’s opinion that the actual enterprise value of Sallyport Global Holdings, Inc. was closer to $81.7 million, resulting in a final award to the Plaintiff of $21.2 million (including prejudgment interest).
